RankQuest - Service Agreement for WatchSEO
PLEASE READ THE FOLLOWING TERMS OF SERVICE CAREFULLY BEFORE USING WATCHSEO SERVICE. THE USE OF WATCHSEO WILL SIGNIFY YOUR AGREEMENT TO BE BOUND BY THESE TERMS OF SERVICE. IF YOU DO NOT AGREE TO THESE TERMS AND CONDITIONS, DO NOT PROCEED.
Purpose Of Agreement
The WatchSEO service is made available to you by RankQuest subject to the following Terms of Service, which may be updated by RankQuest from time to time without notice to you.
Description of Service
RankQuest provides you WatchSEO, a service that permits you to view all Search Engine Optimization information related to your site without the need to use many tools for the purpose (the "Service"). Unless explicitly stated otherwise, feature additions and enhancements to WatchSEO shall be subject to these Terms of Service. You are responsible for obtaining access to WatchSEO and that access may involve third party fees (such as Internet service provider or airtime charges). You are responsible for those fees. In addition, you must provide and are responsible for all equipment necessary to access WatchSEO.
You understand and agree that the Service is provided "AS-IS" without warranty of any nature. Although every effort is taken for providing you accurate and trouble-free service, RankQuest assumes no responsibility for the accuracy, timeliness and failure of the service or deletion of data.
The number of sites you are permitted to monitor through your WatchSEO Account and the period of subscription shall be in accordance with the subscription plan chosen by you. RankQuest reserves the right to change the subscription plans as well as subscription fees from time to time.
Your WatchSEO Account
You agree to provide true, accurate, current and complete information about yourself as while creating your WatchSEO Account and to maintain and promptly update any changes to such information to keep it true, accurate, current and complete. RankQuest has the right to suspend or terminate your account and refuse any and all current or future use of WatchSEO and or any other service provided by RankQuest if the information you provide is or appears to be untrue, inaccurate, obsolete or incomplete. You are responsible for maintaining the confidentiality of the password and account, and are fully responsible for all activities that occur under your password or account. You agree to immediately notify RankQuest of any unauthorized use of your password or account or any other breach of security.
Privacy
We respect your privacy and do not sell or rent your email address and other information provided to us. You will neither be sent spam emails by us. You understand and agree that you may receive certain communications from RankQuest, such as administrative announcements, and that these communications are considered part of WatchSEO service.

The RankQuest site contains hyperlinks to third party web sites. The linked sites are not under the control of RankQuest, and RankQuest is not responsible for, and makes no representations or warranties with respect to, the contents or privacy policies or practices of any linked sites or any link contained in a linked site.
Modification/Termination of Service
RankQuest reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, WatchSEO (or any part thereof) with or without notice. You agree that RankQuest shall not be liable to you or to any third party for any modification, suspension or discontinuance of WatchSEO as long as WatchSEO is made available to you during the period of subscription.
Disclaimer of Warranties
RANKQUEST SPECIFICALLY DISCLAIMS ACCURACY OF DATA OBTAINED BY USING THIRD PARTY SERVICES. YOU EXPRESSLY UNDERSTAND AND AGREE THAT THE USE OF WATCHSEO IS AT YOUR SOLE RISK. THE SERVICE IS PROVIDED ON AN AS-IS-AND-AS-AVAILABLE BASIS. RANKQUEST EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. RANKQUEST MAKES NO WARRANTY THAT THE SERVICE WILL BE ACCURATE, UNINTERRUPTED, TIMELY, SECURE, OR VIRUS FREE. USE OF ANY MATERIAL DOWNLOADED OR OBTAINED THROUGH THE USE OF THE SERVICE SHALL BE AT YOUR OWN DISCRETION AND RISK AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM, WIRELESS DEVICE OR DATA THAT RESULTS FROM THE USE OF THE SERVICE OR THE DOWNLOAD OF ANY SUCH MATERIAL. NO ADVICE OR INFORMATION, WHETHER WRITTEN OR ORAL, OBTAINED BY YOU FROM RANKQUEST, ITS EMPLOYEES OR REPRESENTATIVES SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS OF SERVICE.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL RANKQUEST BE LIABLE FOR ANY DIRECT, CONSEQUENTIAL, INCIDENTAL, INDIRECT, SPECIAL, PUNITIVE, OR OTHER LOSS OR DAMAGE WHATSOEVER OR FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, COMPUTER FAILURE, LOSS OF BUSINESS INFORMATION, OR OTHER LOSS OR DAMAGE ARISING OUT OF OR CAUSED BY YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF RANKQUEST HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE. YOUR SOLE AND EXCLUSIVE REMEDY FOR ANY DISPUTE WITH RANKQUEST RELATED TO THE SERVICE SHALL BE CANCELLATION OF THE SERVICE.
Indemnification
You agree to indemnify and hold harmless RankQuest, its officers, directors, employees, suppliers, and affiliates, from and against any losses, damages, fines and expenses (including attorney's fees and costs) arising out of or relating to any claims that you have used the Service in violation of another party's rights, in violation of any law, in violations of any provisions of these Terms of Service, or any other claim related to your use of the Service.
Applicable Law
Terms of Service shall be governed by the laws of India, as they apply to agreements made and solely performed therein, without regard for conflicts of law. All actions, claims or disputes arising hereunder or relating to the Site shall be exclusively subject to the jurisdiction of the courts at Chennai, India.
Termination
You agree that RankQuest may terminate your Member Account and access to the Service for reasons including breaches or violations of these Terms of Service, a request by you to terminate your Account, discontinuance or material modification to the Service, extended periods of inactivity and requests by law enforcement or other government agencies. Termination of your RankQuest Account includes elimination of access to the Service, deletion of your Account information such as your e-mail ID and Password and deletion of data in your Member Account as permitted or required by law.
